WINIT TERMS AND CONDITIONS

1. Introduction

These Terms and Conditions ("Terms") govern the use of the WinIt digital raffle platform (the "Platform") operated by ZNL Gaming Limited (RC 240270), a company incorporated under the laws of the Federal Republic of Nigeria. By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Definitions

Unless the content otherwise requires:

• "Entrant" or "User" refers to any person participating in any Competition hosted on the Platform.

• "Promoter," "Company," "WinIt," "we," "us," or "our" refers to ZNL Gaming Limited.

• "Competition" refers to any raffle or promotional draw organized on the Platform.

• "Prize" means the reward to be won, whether in cash, goods, services, or experiences.

• "Special Promotional Draw" includes the surprise “Jackpot Drop” and other special promotional raffles.

• "Tickets" refer to the entries purchased and submitted by Users to participate in a Competition, each of which corresponds to one chance at winning the relevant Prize.

3. Compliance with The National Lottery Regulatory Commission

These Terms are subject to the provisions of The National Lottery Regulatory Commission (NLRC) regulatory and operational terms and conditions. Where any provision herein conflicts with the NLRC or other mandatory consumer protection legislation, such laws shall prevail.

4. Eligibility

To participate, you must:

1. Be at least eighteen (18) years old;

2. Possess full legal capacity to enter into binding agreements;

3. Acknowledge that physical Prizes may be location-dependent and may not be deliverable in all jurisdictions.

5. Participation and Entry

   1. To enter a Competition, Users must follow the instructions provided on the Platform. This includes:

1. Selecting the Competition to enter.

2. Registering on the Platform or logging into an existing account.

3. Providing accurate contact information.

4. Selecting the number of Tickets to purchase (subject to ticket limits, if any).

5. Ticking the confirmation box indicating they have read and agree to the Terms and Conditions before finalizing any purchase.

2. All Ticket entries are auto-generated and automatically assigned unique ticket numbers by the system. These are securely generated and cannot be altered.

3. Once payment has been confirmed and Tickets issued, a confirmation email will be sent to the User.

4. Tickets are non-refundable, non-transferable, and cannot be exchanged unless explicitly stated otherwise in writing by the Promoter.

6. Competition Draw Process

   1. All Winners are determined by 100% random selection using a secure, encrypted system.

   2. There will be one main Prize Winner per Competition unless the Promoter states otherwise.

   3. The results of each Competition shall be live-streamed via platforms such as YouTube and Facebook.

   4. Winning numbers shall be encrypted and stored securely. They cannot be altered post-selection.

   5. The Promoter reserves the right to bring forward a draw to a Competition that has ended, according to their discretion.

   6. In the event of cancellation before a draw, Entrants will be refunded or credited with equivalent ticket value.

7. Special Promotional Draws

The Promoter may periodically organize special promotional draffles, including but not limited to the "Jackpot Drop." These draws shall be designated as Special Promotional Draws and may be launched with minimal prior notice at the Promoter’s discretion. Such draws will be governed by the same Terms and Conditions set out herein, unless explicitly varied in the announcement of the specific draw.

8. Prizes and Alternatives

   1. Prizes may include, but are not limited to, vehicles, travel experiences, electronic gadgets, shopping vouchers, luxury items, or monetary rewards, as published on the Platform.

   2. Each Prize must, subject to section 8.3 be accepted as awarded. Prizes cannot be transferred, exchanged or converted to alternatives. They also cannot be combined with any other offers, discounts, or vouchers from the Promoter and/or third parties, unless otherwise expressly indicated by the Promoter.

   3. If the Promoter so offers, all Prize Winners have the option to elect to receive either the full Prize for the Competition or a cash alternative set by the Promoter, which is reasonably equivalent to the Prize. The Prize Winner is under no obligation to accept the cash alternative, and the full Prize as per the Competition’s details will be awarded unless a cash alternative is accepted.

   4. Where a Prize is location-dependent or involves physical delivery that cannot be fulfilled due to regulatory, logistical, or geographical constraints, the Winner shall be offered a reasonable cash alternative in Nigerian Naira.

   5. All expenses relating to the receipt, collection, use, insurance, licensing, transfer, or storage of any Prize, including travel and logistics, shall be the sole responsibility of the Winner, unless otherwise expressly indicated by the Promoter.

   6. The Winner shall also bear full responsibility for the payment of any applicable taxes, customs duties, levies, or charges associated with claiming or using the Prize under state or national laws, unless otherwise expressly indicated by the Promoter.

   7. The Promoter shall not be liable for any loss, damage, or deterioration of the Prize once delivered or collected.

9. Winner Verification and Notification

   1. The Promoter will attempt to contact Prize Winners using the contact details provided at the time of entry. It is the Entrant’s responsibility to ensure that their details are accurate and up to date.

   2. If for any reason the Promoter is unable to contact a Prize Winner within five (5) working days (which may be extended at the sole discretion of the Promoter) of the end of a Competition, or the Prize Winner fails for whatever reason to confirm acceptance of the Prize and/or the Prize Winner is disqualified as a result of not complying with or contravening any of these Terms and Conditions, the Prize Winner hereby agrees that it will immediately, irrevocably and automatically forfeit the Prize and the Prize will remain in the possession and ownership of the Promoter.

   3. Each Prize Winner will be required to show documentary proof of their age (18+) and identification prior to the receipt of a Prize. Any failure to meet this requirement may result in disqualification.

   4. Acceptable forms of identification include a valid National ID card, Driver’s Licence, International Passport, or Voter’s Card, or any other official forms of identification that is deemed acceptable by the Promoter. Additional documentation may be requested at the Promoter’s discretion for verification purposes.

   5. Prize Winners acknowledge and accept that, as a condition of receiving their prize, they may be required to provide photographs, videos, or participate in promotional activities. By accepting a prize, Winners consent to the use of their name, image, likeness, voice, and any recorded content for public relations, advertising, and marketing purposes. This content may be published on our social media platforms, website, and shared with third-party partners for promotional use, without further notice or compensation.

10. Validation

1. The Promoter hereby reserves the right not to deliver a Prize to a Prize Winner until it is satisfied that: 

1. The Prize Winner has a validly registered Website account and is not in breach of these Terms;

2. Any and all amounts due or owing by the Prize Winner to the Promoter have been paid in full; 

3. The age and identity of the Prize Winner and entitlement to receive the Prize have been satisfactorily established (including the right to request valid documentary proof).

2. Without prejudice to the above, the Promoter reserves the right (i) not to make or give a Prize and/or (ii) to retrieve a Prize or its equivalent value, if it reasonably suspects the occurrence of fraud in relation to any Competition.

3. The Promoter may, at its sole discretion, deliver a Prize to a duly authorized representative of the Prize Winner acting under a lawfully executed power of attorney or other valid authorization.

11. Prize Storage

    1. The Promoter can store a physical Prize free of charge for up to thirty (30) days from the date the Prize Winner has been notified of their win.

    2. If the Prize is not collected by the Prize Winner within the stipulated thirty (30) days from notification, such extended storage shall be at the sole cost and responsibility of the Prize Winner, and all reasonable charges incurred in respect thereof must be paid in full to the Promoter before the Prize will be released. The decision to extend storage beyond thirty (30) days remains at the sole discretion of the Promoter.

    3. The Prize shall not be released to the Prize Winner until all applicable storage fees (where relevant) have been paid in full.

12. Liabilities and Disclaimers

    1. The Promoter makes or gives no representations, warranties, assurances of whatever nature and howsoever arising – whether in writing or oral, express or implied – regarding the quality, suitability and/or fitness for any particular purpose of any of the goods or services advertised, offered and/or provided as Prizes.

    2. Except for liability for death or personal injury caused by the Promoter’s negligence or fraudulent misrepresentation, the Promoter is not liable for any loss, damage, or injury (including indirect or economic loss) to person or property arising from any act or omission by the Promoter, its agents, or suppliers in connection with any Competition or the supply of any Prize to the Winner, and, where applicable, to any family/persons accompanying the Prize Winner(s), or in connection with any of the Competitions promoted by the Promoter. 

    3. The maximum total liability of the Promoter to any Prize Winner shall not exceed the actual value of the Prize awarded to that Winner. 

    4. The maximum total liability of the Promoter to any Entrant who is not a Prize Winner shall not exceed the amount paid by that Entrant to enter Competitions within the twelve (12) months prior to the claim.

    5. In all circumstances, the Promoter’s liability shall not exceed the value of the Prize won in the relevant raffle.

    6. The Promoter is not liable for any delay or failure to perform due to force majeure events, including but not limited to natural disasters, internet or telecommunications failures, or actions by governmental authorities.

    7. Users participate at their own risk and are solely responsible for ensuring compliance with all applicable local laws and regulations.

    8. The Promoter shall not be liable for any loss, damage, delay, or failure arising from the actions or omissions of third parties, including but not limited to payment service providers, delivery partners, prize suppliers, or platform hosts. By participating in a Competition, users agree to indemnify and hold the Promoter harmless from any claims, demands, liabilities, damages, or losses (including legal fees) arising out of or in connection with third-party services or failures, whether or not such third parties are affiliated with the Promoter.

    9. The Promoter shall not be held liable for any payment failures, delays, reversals, or processing errors caused by third-party service providers, including but not limited to payment gateways. By entering a Competition, users acknowledge and accept that such transactions are subject to the terms and conditions of the respective third-party service provider, and any disputes or issues must be resolved directly with them.

13. Dispute Resolution

    1. All disputes must follow a structured process:

1. Contact WinIt Support via chat box, WhatsApp, email or phone call.

2. Escalation to a WinIt Supervisor or Manager.

3. Referral to local regulator(s).

4. Referral to the national regulator.

5. Alternative Dispute Resolution (ADR).

2. This multi-tiered dispute resolution process constitutes a mandatory condition precedent to any form of legal action or litigation. No User shall be entitled to initiate court proceedings against the Promoter unless each prior step in this process has been fully and genuinely exhausted.

3. Where ADR is required under section 13.1, it shall be conducted in Abuja, Nigeria, in accordance with the provisions of the Arbitration and Mediation Act, 2023 or any applicable successor legislation. The language of the proceedings shall be English, and the decision of the arbitrator(s) shall be final and binding.

4. If a User initiates court proceedings in breach of this condition, the Promoter reserves the right to apply for a stay of proceedings until full compliance with this dispute resolution mechanism has occured.

5. Where the court subsequently finds in favour of the Promoter regarding a dispute previously adjudicated or addressed through lawful means prior to litigation, the User shall be required to indemnify the Promoter for all legal costs, expenses, and administrative fees reasonably incurred in defending such action.

6. The Promoter also reserves the right to suspend, restrict, or terminate the account of any User who repeatedly violates the rules of civil engagement in communications with support staff, including but not limited using offensive language, issuing threats, or making malicious public statements.

7. Users agree not to publish or share disputes, grievances, or allegations related to the Promoter on social media or other public platforms, unless they have first fully complied with the internal dispute resolution process outlined above in section 13.1. Breach of this clause may result in the suspension or termination of the User’s account and may also constitute grounds for legal action.

14. Account Use

    1. A User’s Account is personal and must not be used by or transferred to another individual.

    2. The User is solely responsible for the security and confidentiality of their account credentials and must take reasonable steps to prevent unauthorized access.

    3. The User must immediately notify the Promoter of any suspected unauthorized use or security breach affecting their account. Failure to do so shall render the User liable for any actions taken from their account.

    4. Passwords can be reset using the email address provided at registration.

    5. The Promoter accepts no liability for any damage, loss, or claims arising from a breach of account security by the User.

    6. Users have the right to delete their account at any time via the Platform interface or by contacting support.

15. Code of Conduct for Users

    1. Users agree to use the Platform and participate in Competitions solely for lawful, personal, and non-commercial purposes.

    2. Users agree not to:

1. Submit false, incomplete, or misleading information; 

2. Post or transmit unlawful, defamatory, obscene, or offensive content; 

3. Distribute malware, engage in unauthorized data access, or impair Platform functionality; 

4. Use automated scripts, mass communication tools, or pyramid schemes; 

5. Allow others to access or operate their account; 

6. Impersonate others or misrepresent their identity or affiliation; 

7. Breach any applicable law, regulation, or these Terms.

3. Users further agree to:

1. Play in accordance with the law and these Terms;

2. Keep login credentials secure;

3. Maintain current and accurate account information.

16. Confidentiality and Privacy Policy

    1. By accessing or using the Website, you acknowledge and consent to the collection, processing, storage, use, and disclosure of your personal information in accordance with applicable data protection laws, including the Nigerian Data Protection Regulation (NDPR) and any regulations made pursuant thereto.

    2. Any personal information provided by you or collected from your use of the Platform shall be governed by our Privacy Policy, which is incorporated by reference into these Terms and Conditions.

    3. The Privacy Policy available on the Platform constitutes an integral part of the Terms and Conditions and shall have binding legal effect.

    4. Where required by law, the Promoter may disclose to relevant regulatory or government authorities the details of any Prize won, claimed, or paid to you.

    5. Your use of the Platform and all communications exchanged with the Promoter in the course of such use are confidential and may not be disclosed to any third party without lawful justification or the prior written consent of the Promoter, except where such disclosure is: 

1. required by law or regulatory authority;

2. necessary to exercise your rights under these Terms or applicable law; or

3. made in the course of seeking professional advice under conditions of confidentiality.

6. The Promoter may process personal data provided by you or obtained through third parties (e.g., payment processors) to facilitate your participation in Competitions, process payments, verify eligibility, and fulfil the delivery of Prizes. In connection with such processing, the Promoter may share personal data with:

1. any payment processor or financial institution named by you during a transaction;

2. any successor-in-interest or assignee to the Promoter’s rights and/or obligations;

3. any party involved in the transfer or acquisition of the Promoter’s business or assets;

4. any authority, agency, or person to the extent required under applicable law;

5. entities engaged in the detection, investigation, and prevention of fraud or other criminal conduct.

7. Where necessary to fulfil any of the purposes identified in this section, the Promoter may transfer your personal data to jurisdictions outside Nigeria. The Promoter shall ensure that such transfers comply with the NDPR and that adequate safeguards are implemented to protect the data during and after transfer.

8. You agree to refrain from making any public statements or disclosures concerning a dispute with the Promoter until all dispute resolution options outlined in these Terms have been fully and genuinely exhausted.

17. Restricted Jurisdictions

Users residing in, or accessing the Platform from, jurisdictions where receipt of digital raffle services or interactive gaming (online) is prohibited are not permitted to register, access, or use the Platform.

18. Governing Law and Jurisdiction

    1. These Terms shall be governed by the laws of the Federal Republic of Nigeria.

    2. You irrevocably submit to the jurisdiction of the courts of Nigeria for all matters arising in connection with these Terms.

19. Entire Agreement

These Terms, including the Privacy Policy and any other legal notices published by the Promoter, constitute the entire agreement between you and the Promoter concerning the use of the Platform and supersede all prior agreements or communications.

20. Changes to Terms

    1. The Promoter reserves the right to amend or revise these Terms at any time. Updated versions shall be published on the Platform and take effect immediately upon posting.

    2. Users are responsible for reviewing the Terms periodically to remain informed of their rights and obligations.

    3. Continued use of the Platform following such updates constitutes acceptance of the revised Terms.
